Filing your annual accounts on time is one of the most important responsibilities of running a limited company or LLP. At Cobble, we help our clients stay on top of Companies House deadlines and avoid unnecessary penalties.
If you file your accounts after the deadline, Companies House will automatically charge a late filing penalty, regardless of whether your company is trading, dormant, large or small.
When Are Accounts Due?
The filing deadline depends on your company type and circumstances.
Most private limited companies and LLPs must file their accounts within nine months of their financial year end. Public companies typically have six months.
If you are filing your first set of accounts or have changed your accounting reference date, different deadlines may apply. Make sure you check your filing obligations carefully so you don’t face unexpected penalties.
How Much are the Penalties?
The amount charged depends on how late the accounts are filed.
For private companies and LLPs, penalties start at £150 and can increase to £1,500 if accounts are more than six months late.
For public companies, penalties begin at £750 and can rise to £7,500.
If accounts are filed late in two consecutive financial years, the penalty is usually doubled.
What Happens If You Don’t File?
Late filing penalties are only one consequence of missing your deadline.
If directors or designated members fail to file accounts or confirmation statements, they commit a criminal offence and may face personal fines.
Companies House can also begin the process of striking a company off the register. This can create serious issues for the business, its assets and its owners.
Can You Appeal a Late Filing Penalty?
Companies House only accepts appeals in exceptional circumstances.
Directors remain responsible for ensuring accounts reach Companies House on time, even if an accountant prepares and submits them on their behalf.
Companies House is unlikely to accept an appeal because:
- The company is dormant
- The business is experiencing financial difficulties
- The accounts were delayed in the post
- A director did not understand the filing requirements
If a genuinely unforeseen event prevents you from filing on time, Companies House may consider an appeal. In most cases, you will need to provide supporting evidence.
How to Avoid Late Filing Penalties
The best way to avoid penalties is to plan ahead.
Keep accurate records throughout the year, respond promptly to requests for information and allow enough time to prepare and approve your accounts. These simple steps can significantly reduce the risk of missing a deadline.
Remember that Companies House must receive your accounts by the filing deadline. Leaving submissions until the last minute increases the chance of delays and unnecessary penalties.
